V. Licensing Declaration

The Patent Holder states that its position with respect to licensing any patent claims contained in the patent(s) or patent application(s) disclosed above that would necessarily be infringed by implementation of the technology required by the relevant IETF specification ("Necessary Patent Claims"), for the purpose of implementing such specification, is as follows(select one licensing declaration option only):

Previous (#3807)This (#3870)
See Text Below for Licensing Declaration Licensing See Text Below for Licensing Declaration

This is to advise the IETF, in accordance with the IETF RFCs 3979 and 4879 that Alcatel Lucent believes that patent (US7126949), and its associated patent family members, (together “the Disclosed Patents”) may be required to implement RFC4762, “Virtual Private LAN Service (VPLS) Using Label Distribution Protocol (LDP) Signaling” (the “Contribution”).

To the extent that the Contribution is incorporated in an IETF RFC, Alcatel Lucent informs IETF that Alcatel Lucent and its Affiliates are prepared to grant a license on fair, reasonable and non-discriminatory (“FRAND”) terms and conditions, subject to reciprocity from those seeking a licence, to implement such IETF RFC for those claims of the Disclosed Patent(s) only that would, in the absence of a license, be necessarily infringed by the making (or having made), using, selling, importing, or otherwise disposing of a technology fully implementing such IETF RFC. In this context, “necessarily infringed” means that infringement of such claims is technically necessary to implement such IETF RFC.

“Affiliate” of Alcatel Lucent means any legal entity that directly or indirectly controls, is controlled by or is under common control with Alcatel Lucent. Control in this context, exists where one entity owns more than fifty percent (50%) of the voting stock or equity in another entity, or regardless of stock or equity ownership, is otherwise able to direct its affairs or to appoint a majority of the members of the board of directors or an equivalent body to determine the course of action of the entity by virtue of its voting or other rights. Such entities shall only be deemed to be Affiliates, hereunder for as long as such control exists.

Subject to Reciprocity and to the extent that the Contribution is incorporated in IETF RFC (“the IETF RFC”), Alcatel Lucent (the “Covenantor”) is prepared to give a covenant not to assert those claims of the Disclosed Patents which would, in the absence of a license, be necessarily infringed by the use of a right (e.g. making, using, selling, importing, distributing, etc) with respect to a technology fully implementing such IETF RFC In this context, “necessarily infringed” means that such claims are technically necessary to implement the IETF RFC. For the avoidance of doubt, the above covenant is limited to the IETF RFC and does not apply to any other IETF standard or other standard setting body’s standards.

“Reciprocity” includes retaining the right to assert the Disclosed Patents against any entity, and its Affiliates, that asserts any patent(s) that it owns or controls (directly or indirectly) either against the Covenantor, or any of its Affiliates or any successor in title to them, or against any products, or portions thereof, of the Covenantor, its Affiliates or supplied by the Covenantor, or its Affiliates, to their customers either alone or in combination with other products.

Note: The individual submitting this template represents and warrants that he or she is authorized by the Patent Holder to agree to the above-selected licensing declaration.
